This Service Agreement (“Agreement”) is entered into between [WJ Digital], LLC (“Provider”) and the undersigned client (“Client”) identified in the invoice.
1. Services
WJ Digital agrees to provide website design, development, and/or maintenance services as outlined in the agreed Scope of Work.
2. Scope of Work
The specific details of the services (including page count, features, timeline, and pricing) are defined in the Scope of Work provided via invoice, proposal, or written communication and incorporated by reference into this Agreement.
3. Payment Terms
Payment in full is required before the final website files, domain ownership, hosting access, or administrative credentials are transferred to the Client.
The Client will be provided access to review the completed website prior to transfer. Final delivery, launch, and ownership transfer occur only after full payment has been received.
Reviewing access does not equate to delivery of final product.
All payments are non‑refundable once work has commenced.
4. Revisions
Unless otherwise stated in the Scope of Work:
- The project includes up to two (2) rounds of revisions.
- Additional revisions or changes beyond scope may be billed separately.
5. Timeline
Project timelines depend on timely client feedback and content delivery. Delays caused by the Client may extend the delivery timeline.
6. Client Responsibilities
Client agrees to provide all required content, approvals, and feedback in a timely manner. WJ Digital is not responsible for delays caused by missing or late client materials.
- The Client is solely responsible for the accuracy, legality, and ownership of all content, materials, and information provided to the WJ Digital. WJ Digital is not responsible for errors, omissions, or legal issues arising from Client‑supplied content.
7. Domain & Hosting
If WJ Digital purchases a domain on the Client’s behalf, ownership will be transferred to the Client after final payment is received. WJ Digital may manage hosting and technical access during development.
8. Ownership
Upon receipt of full payment:
- Client owns the final website deliverables.
- WJ Digital retains the right to display the work in portfolios and marketing.
9. Maintenance Services
Ongoing maintenance services, if selected, are billed separately and do not include new features, redesigns, or major changes unless agreed in writing.
10. No Guarantees
WJ Digital does not guarantee website traffic, search engine rankings, or business results. The Client acknowledges that website performance depends on many factors outside the Provider’s control.
11. Limitation of Liability
WJ Digital’s liability is limited to the total amount paid by the Client under this Agreement. WJ Digital is not liable for indirect or consequential damages.
12. Termination
Either party may terminate this Agreement with written notice. Any completed work and incurred costs up to termination remain payable.
- Abandonment: If the Client fails to respond, provide required materials, approvals, or feedback for a period of thirty (30) consecutive days, the project may be considered abandoned at the Provider’s discretion. In the event of abandonment, all work completed to date and all payments made are non‑refundable. The Provider shall have no obligation to resume work unless a new agreement or additional payment is made.
13. Governing Law
This Agreement shall be governed by the laws of the State of Indiana.
